BY CHECKING THE BOX ON THE REGISTRATION FORM, YOU AGREE TO THE TERMS OF THIS LICENSE AGREEMENT.

This License Agreement ("License") is between you and/or the company filled in on the registration form, and Sidelines Inc. for professional use only. For good and valuable consideration, the receipt of which is acknowledged, Sidelines Inc gives you certain limited rights to use our photographs, images and/or registered marks (herein known as "the Images") provided to you. This agreement pertains to any image regardless of the format in which the images may be provided to you. All rights not specifically granted by this Agreement are reserved to Sidelines Inc.

Reservation of Ownership and Grant of License: Sidelines Inc retains exclusive ownership of any copy of the Images licensed under this Agreement and hereby grants you a professional, non-exclusive, non-transferable license to use the Images, without the right to sub-license, pursuant to the terms and conditions of this Agreement.

Copyright: The Images are owned by Sidelines Inc and are protected by United States copyright laws and applicable international treaties and/or conventions. Usage of our Images is by permission only for the sole purpose of representing our accessory line (ie. Not laminate products). All reproductions must contain our mark and courtesy caption. IN ADDITION TO DAMAGES, PROHIBITED USE OF SIDELINES’ PROPRIETARY COPYRIGHTS AND TRADEMARKS MAY RESULT IN IMPOSITION OF PENALTIES PROVIDED UNDER FEDERAL AND STATE LAW.

Prohibited Uses: You may not modify, alter, or create derivative works based on the Images. You may not sell, rent, lease, sub-license, transfer, or provide unlicensed third parties access to the Images or your rights under this Agreement. You may not remove or obscure any copyright or trademark notices on the Images. You may not apply for copyright or trademark protection of material based on the Images. You may not assign this Agreement or your rights under this Agreement without the prior written consent of Sidelines Inc. Any purported assignment without such consent shall be null and void.

Term: The term of the License granted by this Agreement is from the effective date of this Agreement until terminated. The Agreement automatically terminates without notice if you fail to comply with any provision of this Agreement. The parties hereby agree that all provisions that operate to protect the proprietary rights of Sidelines Inc shall remain in force should breach occur. Sidelines Inc may terminate this Agreement immediately for any use of the Images that it deems offensive.
